By accessing or using the Skooly platform (skoo.ly), including the Skooly web dashboard, the Skooly Chrome extension, or the Skooly Streaks iOS application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.
These Terms constitute a legally binding agreement between you and Software Quality Associates ("we," "us," or "our"), operators of Skooly and all related services. We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date and, where practicable, through email or in-app notification. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.
Skooly is a platform for online community owners, managers, and creators. Our Service includes:
The Skooly Chrome extension provides direct integration with Skool.com pages, enabling access to community management tools, link creation, testimonial capture, member tagging, notes, and monitoring features from within your browser.
Skooly offers multiple subscription tiers, including Free, Pro, and VIP plans. Each tier provides access to different features and usage limits. Feature availability, pricing, and tier definitions may change over time. Current plan details are available on our website.
Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). By subscribing to a paid plan, you authorize us to charge your designated payment method at the beginning of each billing cycle. All fees are stated in U.S. dollars unless otherwise noted.
You may cancel your subscription at any time. Upon cancellation, you will retain access to your paid features for the remainder of your current billing period. We do not provide refunds for partial billing periods, except as described in Section 8 (Third-Party Platform Dependencies) or as required by applicable law.
We reserve the right to change subscription pricing at any time. Price changes will not apply to your current billing period. We will provide at least 30 days' notice before any price increase takes effect for your account.
To access certain features of our Service, you may need to create an account. You agree to:
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.
You may use our Service for lawful purposes only, including:
You may not use our Service to:
As a community owner using our monitoring and management tools, you are responsible for ensuring your use of collected community data complies with applicable laws, including data protection and privacy regulations. You acknowledge that community members may not be aware that you are using third-party tools to monitor engagement and activity, and you agree to use the data responsibly and in accordance with the terms and policies of the platforms from which data is collected.
Certain features of our Service perform actions on your behalf within third-party platforms, including sending direct messages, publishing posts, and creating accounts. To enable these features, you may provide us with your Skool.com authentication credentials ("session cookies"), which are encrypted and stored securely on our servers. By providing these credentials, you:
You may revoke this authorization at any time by deleting your stored session from the Skooly dashboard. Upon revocation, all automated actions will cease immediately. We recommend periodically reviewing your active automated messaging rules to ensure they remain appropriate.
Skooly provides AI-powered features, including an admin copilot and a member assistant, that use third-party AI services (currently OpenAI) to generate responses based on your community content. By using AI features, you acknowledge that:
The Email Broadcasting feature lets you send email to recipients you manage through Skooly. When you use it, you agree:
Skooly uses a third-party delivery subprocessor (currently Resend) to actually send the email. The data-processing terms governing Recipient personal data are set out in the Data Processing Agreement.
You retain ownership of the URLs, notes, testimonials, lists, and other content you submit to our Service. By using our Service, you grant us a limited license to process, store, display, and transmit your content as necessary to provide our Service.
The Service, including its design, functionality, and content, is owned by Software Quality Associates and protected by intellectual property laws. You may not copy, modify, or distribute our Service without permission.
We are not responsible for the content of URLs you shorten, the websites they redirect to, or the accuracy of community data collected from third-party platforms. You are solely responsible for ensuring your content and your use of collected data complies with applicable laws and these Terms.
You represent that you have appropriate rights or permissions to capture, store, and publicly display any testimonials through our Service. You are responsible for ensuring that testimonial content does not infringe on third-party rights and complies with applicable advertising and consumer protection laws.
Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to our data practices as described in the Privacy Policy.
Certain features of our Service, including Hawkeye, Nighthawk, TalonTag, Perch Guard, and other community management tools, interact with and depend on third-party platforms, particularly Skool.com. These platforms are operated independently and may modify their interfaces, structure, terms of service, or access policies at any time without notice to us.
We do not guarantee that features dependent on third-party platforms will remain available or function identically over time. Changes to third-party platforms may result in temporary or permanent degradation, modification, or discontinuation of affected features. We will make commercially reasonable efforts to adapt to platform changes, but cannot guarantee compatibility.
In the event that a third-party platform change renders a material portion of the features included in your subscription tier permanently unavailable, we will take one or more of the following steps:
We are committed to ensuring you retain access to data you have stored with us. In the event of service disruption related to third-party platform changes, we will provide reasonable means for you to export your stored data (including member records, notes, testimonials, and list data) in a standard format.
You acknowledge that third-party platform changes are outside our control. Our liability for any loss or disruption caused by third-party platform changes is limited to the remediation steps described in this Section 8. We shall not be liable for any indirect, consequential, or incidental damages arising from third-party platform changes.
By creating an account, you agree to receive transactional emails related to your account, including email verification, password resets, security alerts, and service notifications.
By creating an account, you consent to receive occasional marketing emails from us, including product updates, feature announcements, tips, and promotional offers. You may unsubscribe from marketing emails at any time by clicking the "unsubscribe" link included in every marketing email or by contacting us at contact@softwarequalityassociates.com. Unsubscribing from marketing emails will not affect transactional communications related to your account.
We strive to provide reliable service, but we cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.
We may implement rate limiting to prevent abuse and ensure fair usage. This may include limits on the number of URLs you can create, the frequency of community data scans, or the volume of API requests.
Some links may have expiration dates. We reserve the right to remove or disable links that violate these Terms or for other operational reasons.
We continuously improve our Service and may add, modify, or discontinue features at any time. We will make reasonable efforts to notify you of material changes that affect your subscription tier.
We employ industry-standard security practices to protect the Service and your data, including encrypted communications (TLS/HTTPS), row-level security policies for data isolation, JWT-based authentication, regular security audits, and automated testing. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.
Our Service is built on enterprise-grade infrastructure provided by Supabase (database hosting with automated daily backups and point-in-time recovery) and Vercel (application hosting with redundant global deployments). We maintain regular backup schedules and disaster recovery procedures. While we take reasonable precautions, we are not liable for data loss resulting from events beyond our control, including infrastructure provider outages, force majeure events, or actions by third parties.
We maintain automated test suites, conduct code reviews, and perform quality assurance testing before deploying changes to production. We follow responsible development practices to minimize the risk of bugs, data loss, or service interruptions.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF DATA COLLECTED FROM THIRD-PARTY PLATFORMS. COMMUNITY MANAGEMENT METRICS, ENGAGEMENT SCORES, AT-RISK INDICATORS, AND OTHER COMPUTED VALUES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE THE SOLE BASIS FOR BUSINESS DECISIONS. WE ARE NOT RESPONSIBLE FOR ACTIONS YOU TAKE BASED ON DATA OR INSIGHTS PROVIDED BY OUR SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOFTWARE QUALITY ASSOCIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY DAMAGES ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ACTIONS OR CHANGES BY THIRD-PARTY PLATFORMS THAT AFFECT SERVICE FUNCTIONALITY; (D) ANY BUGS, ERRORS, OR INACCURACIES IN THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).
THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND SOFTWARE QUALITY ASSOCIATES. THE SERVICE WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS.
You agree to indemnify, defend, and hold harmless Software Quality Associates, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
You may terminate your account at any time by contacting us or using the account deletion features in your dashboard.
We may terminate or suspend your account immediately, without prior notice, for any reason, including violation of these Terms.
Upon termination, your right to use the Service ceases immediately. We may delete your account data and associated content after a reasonable retention period. You may request an export of your data before termination. Some data may be retained as required by law or for legitimate operational purposes.
Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law shall survive termination of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Before initiating any formal dispute resolution proceeding, you agree to first contact us at contact@softwarequalityassociates.com and attempt to resolve the dispute informally for at least thirty (30) days.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved through informal negotiation shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of New Jersey. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
YOU AND SOFTWARE QUALITY ASSOCIATES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
API keys are personal to your account and should not be shared. You are responsible for all activity associated with your API key. If you believe your key has been compromised, regenerate it immediately from your dashboard.
API usage is subject to rate limits based on your subscription tier. Exceeding rate limits may result in temporary throttling or suspension of API access.
The following additional terms apply to the Skooly Streaks iOS application:
Skooly Streaks is a habit tracking companion app for Skool community owners. It allows you to track daily, weekly, and monthly community management habits and maintain streaks. The app requires a Skooly account to sync data.
Skooly Streaks uses your existing Skooly (skoo.ly) account for authentication. You are responsible for maintaining the security of your device and account credentials. The same account terms that apply to the Skooly web service apply to your use of the iOS app.
Streak and habit data is stored locally on your device and synced to our servers when you are logged in. If discrepancies arise between local and server data, server data takes precedence. We are not responsible for data loss resulting from device failure, app uninstallation, or local storage corruption.
Skooly Streaks is available to Skooly members. Certain features, including cloud sync, may be limited based on your Skooly subscription tier. We reserve the right to modify feature availability across tiers at any time.
We may release updates to the app through the Apple App Store. You are responsible for keeping the app up to date to ensure compatibility with our services. We may discontinue support for older versions at any time.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Software Quality Associates regarding the Service and supersede all prior agreements, understandings, and communications.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure failures, third-party platform changes, or pandemics.
